For intermediaries
We work with the brokers, accountants, lawyers and bank managers who advise Portuguese business owners. This page is what you need to know before you bring us a company — our mandate, how quickly we answer, and what we need in order to look properly.
I · Our mandate
| Sector | Mechanical, electrical and plumbing — installation and maintenance |
|---|---|
| Size | Roughly €300,000 to €5 million in annual earnings |
| Where | Continental Portugal |
| Structure | Purchase of the share capital, usually in full; a rollover or seller note where the owner prefers it |
| Situation | An owner ready to step back, with no clear successor in place |
| We avoid | Turnarounds, start-ups, and anything that needs rescuing |
If a company is close to this but not exactly, send it anyway. These are guides, not gates.
II · How we answer
We reply to every approach within two working days. After a first conversation and a set of accounts, we give a clear yes or no within two weeks — and when it is no, we say why. When there is interest, we put the price and terms in writing early, before anyone has spent months on it.
We do not retrade. A number we put in writing is the number we complete at, unless something material was not disclosed.
III · What we need to look properly
Enough to be serious, and no more than that:
| Accounts | Three years — the IES is enough to begin |
|---|---|
| People | Headcount, and who supervises the work day to day |
| Customers | The largest three as a share of turnover |
| Licences | Any IMPIC alvará or título de registo, and DGEG installer registration where it applies |
| What sits where | Property, vehicles and owner remuneration — inside or outside the company |
We can work from less. We would rather see a rough picture early than a polished one late.
IV · Mandates and confidentiality
Where an owner is represented, we deal with their adviser and we respect the mandate. We do not go around you. We sign a confidentiality agreement before confidential information changes hands, and we are content to sign yours rather than insist on ours.
Where an introduction falls outside an existing mandate, we agree terms in writing before information is exchanged.
V · That we can complete
Our capital is committed. We are not raising a fund, and we are not assembling money deal by deal once a company is under exclusivity. If it helps your client decide whether to open a conversation, we will evidence funds before diligence begins, under confidentiality.
